The rules governing use of SyncTide software, licence keys, and this website.

These Terms of Service ("Terms") govern your use of the SyncTide software, licence keys, supporting documentation and this website (collectively, the "Service"). By downloading, installing or using SyncTide, you agree to these Terms. If you disagree, do not use the Service.
The Service is provided by Tiago Guimarães, operating under Portuguese tax residency (the "Vendor"). "Customer" means the individual or legal entity that acquires a SyncTide licence.
Subject to payment of the applicable fees and compliance with
these Terms, the Vendor grants the Customer a non-exclusive,
non-transferable licence to install and run SyncTide on the
server(s) whose MAC addresses are listed in the signed
.lic file delivered to the Customer.
Two licence models are offered:
The Customer shall not:
.pyd binaries, except to the minimum extent
expressly permitted by applicable law (e.g. Article 6 of the
EU Software Directive).An active subscription (for subscription licences) or an active maintenance period (for perpetual licences) grants the Customer access to:
When the active period ends, the Customer keeps the last version they received (perpetual model) or must renew to continue using the software (subscription model). Renewal can occur at any time.
Fees, currency and payment terms are stated in the commercial offer sent to the Customer before licence issuance. Invoices are issued in accordance with Portuguese tax law; VAT is added where applicable. Payment is due within 30 days of invoice date unless a different term is agreed in writing.
Late payments may result in suspension of the subscription or withholding of the next update release until balance is settled.
The Vendor retains all ownership of the software, source code, compiled binaries, documentation, trademarks and branding. Nothing in these Terms transfers intellectual-property rights to the Customer beyond the limited use licence described in §2.
Customer data — measurements, alarm events, user accounts created inside the SyncTide installation — remains the property and responsibility of the Customer and never leaves the Customer's infrastructure.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. The Vendor does not warrant that the software will be uninterrupted, error-free, or meet the Customer's specific requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE VENDOR'S AGGREGATE LIABILITY UNDER THESE TERMS — WHETHER IN CONTRACT, TORT OR OTHERWISE — IS LIMITED TO THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THE LICENCE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE VENDOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION OR FAILURE OF THIRD-PARTY INFRASTRUCTURE ON WHICH THE SOFTWARE RUNS.
Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any other liability that cannot be excluded under applicable law (including consumer rights where the Customer is a consumer).
These Terms apply from the date of first installation and continue while the Customer holds an active licence. Either party may terminate for material breach not cured within 30 days of written notice. On termination:
Use of the website and contact form is governed by our Privacy Policy. The Vendor acts as a data controller only for the limited vendor-side data it handles (contact-form submissions, customer records, licence-binding MAC addresses). The Customer is the data controller for all personal data processed inside their SyncTide installation and is responsible for compliance with applicable data-protection law in their jurisdiction.
SyncTide bundles and uses third-party open-source components (PostgreSQL, Python, FastAPI, Streamlit, LibreOffice, NSSM and others). Each component is licensed under its original open-source licence. A list of bundled components and their licences is included in the distribution.
Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, war, civil unrest, government action, internet-backbone outages or third-party service failures (e.g. Cloudflare, GitHub, Formspree).
These Terms are governed by the laws of Portugal. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal, except where consumer-protection law mandates a different forum.
The Vendor may update these Terms from time to time. The Last updated date at the top reflects the current version. Material changes affecting existing customers will be notified by email at least 30 days before taking effect.
